Please read these terms carefully before using our platform.

1. Introduction and Acceptance of Terms

1.1 Agreement to Terms

Welcome to HorlartPay. These Terms and Conditions constitute a legally binding agreement between you ("User," "you," or "your") and HorlartPay governing your access to and use of our digital currency exchange platform, including our website, services, features, content, and applications.

Important: By creating an account, accessing our Platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use our Platform.

1.2 Eligibility Requirements

To use HorlartPay, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Be a resident of Nigeria or have a valid Nigerian bank account
  • Have the legal capacity to enter into binding contracts under Nigerian law
  • Not be prohibited from using financial services under Nigerian or international law
  • Provide accurate, current, and complete information during registration
  • Not have been previously suspended or banned from using HorlartPay

By using our Platform, you represent and warrant that you meet all eligibility requirements.

1.3 Platform Purpose

HorlartPay is a digital currency exchange platform designed to facilitate the conversion of foreign currencies (primarily United States Dollars - USD) held in international e-wallets to Nigerian Naira (NGN). We act as an intermediary platform connecting users with currency exchange opportunities and providing administrative oversight for transaction security and completion.

2. Definitions

For the purposes of these Terms:

"Account"

Your registered user account on the HorlartPay Platform.

"Admin" / "Admin Team"

HorlartPay's authorized personnel who verify, process, and oversee currency exchange transactions.

"Exchange Offer"

A currency conversion opportunity listing specifying exchange rate, limits, and applicable e-wallet.

"E-Wallet"

Digital payment platforms such as PayPal, Payoneer, Skrill, Neteller, and other supported services.

"Exchange Rate"

The conversion rate between USD and NGN applicable to a specific transaction.

"Transaction"

A currency exchange operation involving the transfer of USD in exchange for NGN.

"Proof of Payment"

Documentation evidencing completion of a USD transfer (screenshots, receipts, transaction IDs).

"Dashboard"

Your personalized user interface displaying account information and transaction history.

3. Account Registration and Security

3.1 Account Creation

To access our services, you must create an account by providing:

  • Your full legal name (first name and last name)
  • A valid email address that you have access to
  • A secure password meeting our security requirements
  • Nigerian bank account details (account number, bank name, account holder name)

You must verify your email address by clicking the verification link sent to your registered email before your account becomes fully active.

3.2 Account Information Accuracy

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and current
  • Notify us immediately of any changes to your email address, bank account details, or other critical information
  • Ensure that the name on your HorlartPay account matches the name on your Nigerian bank account

Failure to provide accurate information or update outdated information may result in transaction delays, failures, or account suspension.

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials (email and password)
  • All activities that occur under your account, whether authorized by you or not
  • Notifying us immediately of any unauthorized access or security breach
  • Logging out of your account when using shared or public devices
  • Enabling two-factor authentication (2FA) for enhanced security (strongly recommended)

Security Best Practices:

  • Use a strong, unique password not used for other services
  • Never share your password with anyone, including individuals claiming to be HorlartPay staff
  • Regularly monitor your account for suspicious activity
  • Keep your email account secure as it is used for account recovery

3.4 Account Suspension and Termination

We reserve the right to suspend or terminate your account, with or without notice, if:

  • You violate any provision of these Terms
  • You provide false, inaccurate, or misleading information
  • Your account is used for fraudulent, illegal, or unauthorized purposes
  • You engage in activities that harm other Users or the Platform
  • You attempt to circumvent our security measures
  • You are involved in money laundering, terrorist financing, or other financial crimes
  • We are required to do so by law or regulatory authorities
  • Your account remains inactive for an extended period

Upon termination, your right to access and use the Platform immediately ceases. We may, but are not obligated to, complete pending transactions at the time of termination.

3.5 Account Closure by User

You may request account closure at any time by contacting us at support@horlartpay.com. Upon account closure:

  • You must complete or cancel all pending transactions
  • You will lose access to your transaction history and account data
  • We will retain certain information as required by law or regulation (typically 7 years for financial records)
  • Account closure does not absolve you of any obligations arising from transactions conducted before closure

4. Services Description

4.1 Currency Exchange Services

HorlartPay provides a platform for exchanging USD held in supported e-wallets to Nigerian Naira. Our services include:

Market Browsing

Access to Exchange Offers displaying conversion rates, minimum/maximum transaction amounts, and applicable e-wallets.

Rate Calculator

Tool to calculate exact NGN amounts you will receive for specific USD amounts before committing to a transaction.

Transaction Initiation

Ability to select and initiate currency exchange transactions based on available Exchange Offers.

Admin Communication

Secure in-app chat system for real-time communication with our Admin team during transactions.

Transaction Processing

Administrative verification and processing of your USD transfers and corresponding NGN disbursements.

Transaction History

Access to records of all your completed, pending, and cancelled transactions.

4.2 Supported E-Wallets

We currently support the following e-wallets:

  • PayPal
  • Payoneer
  • Skrill
  • Fiverr
  • Upwork
  • Other e-wallets as displayed in the Market section

We reserve the right to add or remove supported e-wallets at any time without prior notice. Removal of an e-wallet from our supported list does not affect transactions already initiated and in progress.

4.3 Platform Availability

HorlartPay strives to maintain Platform availability 24 hours a day, 7 days a week. However:

  • Admin team availability for transaction processing may be limited to specific business hours
  • We may temporarily suspend the Platform for maintenance, updates, or technical issues
  • We do not guarantee uninterrupted access or error-free operation
  • We are not liable for damages resulting from Platform unavailability

4.4 Service Limitations

HorlartPay does NOT:

  • Provide services for converting NGN to foreign currencies (we only offer USD to NGN exchange)
  • Support cryptocurrency transactions
  • Provide financial advice, investment guidance, or recommendations
  • Guarantee specific exchange rates for future transactions
  • Hold, custody, or manage your funds beyond the transaction processing period

5. How Currency Exchange Works

5.1 Transaction Process Overview

Currency exchange on HorlartPay follows this structured process:

  1. Step 1: Browse Exchange Offers
    Navigate to the Market section from your Dashboard and review available Exchange Offers showing rates and limits. Select your e-wallet type (PayPal, Payoneer, etc.).
  2. Step 2: Calculate Your Exchange
    Use the Rate Calculator to enter your desired USD amount and view the exact NGN equivalent you will receive. Review transaction terms, and verify minimum and maximum transaction limits.
  3. Step 3: Initiate Transaction
    Click "Sell" on your chosen Exchange Offer, accept the transaction agreement, and proceed to the Transaction Initiation page.
  4. Step 4: Communicate with Admin
    Click "Chat Admin" to open secure messaging, receive payment instructions, obtain collection tags where applicable, and receive designated e-wallet address or account.
  5. Step 5: Transfer USD
    Transfer the agreed USD amount to the provided e-wallet details, following all Admin instructions and including any required tags, notes, or references in your transfer.
  6. Step 6: Submit Proof of Payment
    Upload clear screenshots or documentation of your completed USD transfer, including transaction IDs and timestamps, via the Admin chat system.
  7. Step 7: Admin Verification
    Admin team verifies your USD payment and may request additional information if needed.
  8. Step 8: Receive NGN
    Upon successful verification, NGN is transferred to your registered Nigerian bank account and you receive confirmation via Admin chat and email.

5.2 Transaction Timeline

While we strive for efficiency, transaction completion time varies based on:

  • Admin availability during business hours
  • E-wallet transfer processing times (varies by provider)
  • Complexity of verification required
  • Completeness and clarity of submitted Proof of Payment
  • Bank processing times for NGN transfers

Typical timeline: Most transactions are completed within business hours once Proof of Payment is verified. However, we do not guarantee specific completion times.

5.3 Transaction Limits

Each Exchange Offer specifies a minimum and maximum transaction amount. You must initiate transactions within these specified limits. Transactions outside these limits will be rejected or cancelled.

5.4 Exchange Rates

Exchange rates are displayed clearly in each Exchange Offer before you initiate a transaction, fixed at the time you accept the transaction agreement, and applied to calculate the exact NGN you receive. Rates may fluctuate over time; always verify current rates before initiating a transaction.

6. User Obligations and Responsibilities

6.1 Lawful Use

You agree to use HorlartPay only for lawful purposes. You shall NOT:

  • Use the Platform for money laundering, terrorist financing, or any illegal financial activity
  • Engage in fraudulent transactions or misrepresent transaction details
  • Provide false documentation or Proof of Payment
  • Use stolen, unauthorized, or third-party e-wallet accounts
  • Conduct transactions on behalf of sanctioned individuals or entities
  • Violate any Nigerian or international laws or regulations
  • Use the Platform to facilitate prohibited goods or services transactions

6.2 Accurate Information

You must provide truthful, accurate, and complete information in all transactions and ensure your e-wallet account is legitimately owned and operated by you. Verify that all Proof of Payment documents are genuine and unaltered and confirm that your Nigerian bank account details are correct before initiating transactions.

6.3 E-Wallet Account Ownership

You represent and warrant that you are the legitimate owner of the e-wallet account used for transactions and that all funds are legally obtained. Transactions involving unauthorized accounts or fraudulent funds will be cancelled and may result in account suspension.

6.4 Communication Responsibility

You agree to respond promptly to Admin requests, maintain professional communication, check notifications regularly, and provide requested documentation within reasonable timeframes.

6.5 Transaction Limits Compliance

You must initiate transactions within the specified limits and must not attempt to circumvent limits by splitting transactions or using multiple accounts. Suspicious transaction patterns may indicate money laundering or fraud and are prohibited.

6.6 Prohibited Activities

You explicitly agree NOT to:

  • Create multiple accounts to circumvent limits or restrictions
  • Use automated tools, bots, or scripts to access or manipulate the Platform
  • Reverse engineer, decompile, or attempt to extract source code from our Platform
  • Interfere with or disrupt the Platform's operation or servers
  • Harvest or collect information about other Users
  • Impersonate HorlartPay staff, Admin, or other Users
  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems or other Users' accounts

7. Fees and Charges

7.1 Exchange Rate Structure

HorlartPay's exchange rates are displayed transparently in each Exchange Offer. The rate you see is the rate you receive—our exchange rate inherently includes our service fee, and we do not charge additional hidden fees.

What You See Is What You Get:

  • The Rate Calculator shows the exact NGN amount you will receive in your bank account
  • No surprise deductions or additional charges after transaction initiation
  • The displayed exchange rate is all-inclusive

7.2 Third-Party Fees

While HorlartPay does not charge separate transaction fees, please note:

  • E-Wallet Provider Fees: Your e-wallet provider may charge fees for sending funds; these are determined by the provider and are your responsibility.
  • Bank Transfer Fees: Your Nigerian bank may charge fees for receiving NGN transfers; these vary by bank and account type and are not HorlartPay's responsibility.

7.3 No Refund of Service

Once a transaction is completed (USD received and verified, NGN transferred to your bank account), the exchange is final. HorlartPay does not provide refunds for completed transactions unless we made a calculation error, failed to transfer the agreed NGN amount, or a Platform error materially affected your transaction.

7.4 Rate Fluctuations

Exchange rates on HorlartPay may change at any time due to market conditions, supply and demand, or operational considerations. Once you accept a transaction agreement, the rate for that transaction is locked.

8. Transaction Policies

8.1 Transaction Agreement

When you click "Sell" on an Exchange Offer and accept the transaction agreement, you are entering into a binding contract to transfer the specified USD amount, follow Admin instructions, submit valid Proof of Payment, and receive the calculated NGN upon verification.

8.2 Transaction Cancellation

Cancellation by User: You may cancel a transaction before sending USD by notifying Admin through chat and confirming you have not sent funds. Once you have sent USD, cancellation is subject to Admin review.

Cancellation by HorlartPay: We reserve the right to cancel transactions if we cannot verify Proof of Payment, suspect fraud, or are unable to process the transaction for operational or legal reasons. If we cancel after you have sent USD, we will make reasonable efforts to facilitate return of funds, but recovery is not guaranteed.

8.3 Disputed Transactions

If you dispute a transaction, contact us immediately through Admin chat or support@horlartpay.com, provide documentation, and cooperate with our investigation. We will investigate in good faith and typically respond within 5-10 business days. Our decision is final.

8.4 Failed Transactions

A transaction may fail for reasons such as unreceived USD transfer, unverifiable Proof of Payment, incorrect account information, bank rejection, or technical issues. We will notify you of failures and assist where possible, but are not liable for losses beyond our reasonable control.

8.5 Incomplete Transactions

Transactions that are not completed (e.g., no USD sent or no Proof of Payment uploaded) may be marked as incomplete and cancelled after a reasonable period (typically 24-48 hours of inactivity).

8.6 Transaction Records

All transactions are recorded in your Transaction History. You are responsible for reviewing your history, reporting discrepancies, and maintaining personal records. We retain transaction records as required by law (typically 7 years).

9. Payment and Fund Transfer

9.1 USD Payment Instructions

For each transaction, Admin will provide payment instructions (exact e-wallet address, precise USD amount, required tags/references, and deadlines). You must follow these instructions exactly, transfer the exact USD amount from your own e-wallet, and submit Proof of Payment after completing the transfer.

9.2 Proof of Payment Requirements

Valid Proof of Payment must include clear screenshots or documentation showing transaction ID/reference, date/time, USD amount, recipient e-wallet, transaction status, and your e-wallet identifier. Unacceptable proof includes blurry, cropped, edited, or mismatched documentation.

9.3 NGN Disbursement

Upon verification, HorlartPay will transfer the agreed NGN to the bank account registered in your profile, send confirmation via Admin chat and email, and update the transaction status to "Completed." Ensure your bank details are accurate; NGN cannot be redirected after initiation.

9.4 Verification Process

Our Admin team verifies authenticity of Proof of Payment, correct USD amount, matching transaction details, legitimacy of e-wallet account, and compliance with terms. Verification can take minutes to several hours depending on complexity and availability.

9.5 Bank Account Accuracy

You are responsible for providing correct bank account details and ensuring the account name matches your HorlartPay registration. If NGN is sent to an incorrect account due to your error, HorlartPay is not responsible for recovery but will provide evidence to assist recovery efforts. You may be liable for recovery fees.

9.6 Payment Timing

Payment timing depends on Admin availability, e-wallet processing speeds, verification complexity, bank processing times, and transaction queue volume. We do not guarantee specific completion times; most transactions complete within business hours.

10. Intellectual Property Rights

10.1 Platform Ownership

HorlartPay and all its content, features, and functionality are owned by HorlartPay, its licensors, or other content providers and are protected by applicable intellectual property laws.

10.2 Limited License to Use

Subject to compliance with these Terms, HorlartPay grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial currency exchange purposes. This license does not permit modification, distribution, or commercial use of Platform content.

10.3 Trademarks

"HorlartPay" and related marks are trademarks of HorlartPay. You may not use these marks without prior written permission. Other trademarks mentioned belong to their respective owners.

10.4 User Content

By uploading content (e.g., Proof of Payment), you grant HorlartPay a non-exclusive, worldwide, royalty-free license to use, store, display, and process such content for providing services, verifying transactions, complying with legal obligations, and improving the Platform. This license terminates when you close your account, except where retention is required by law.

10.5 Feedback and Suggestions

If you provide Feedback, you grant HorlartPay a perpetual, irrevocable license to use, modify, and incorporate such Feedback into the Platform without obligation to compensate you.

11. Disclaimers and Warranties

11.1 Platform "As Is"

HorlartPay is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 No Financial Advice

HorlartPay does NOT provide financial, investment, tax, or legal advice. You are responsible for determining suitability, understanding tax implications, and consulting qualified professionals where necessary.

11.3 Exchange Rate Disclaimer

Rates are subject to change at any time. We do not guarantee the best market rates and are not responsible for losses from rate fluctuations after transaction completion.

11.4 Third-Party Services

We rely on third-party e-wallet providers and banks and are not responsible for their delays, failures, or policy changes. Your use of third-party services is subject to their terms.

11.5 No Guarantee of Service Availability

We do not guarantee uninterrupted access, error-free operation, or that defects will be corrected promptly. We reserve the right to suspend or discontinue the Platform at any time.

11.6 Security Disclaimer

While we implement security measures, no system is completely secure. We cannot guarantee absolute security against unauthorized access or data breaches. You are responsible for your account security.

11.7 User Responsibility

You use HorlartPay at your own risk and are solely responsible for transactions and outcomes. Conduct due diligence and verify transaction details before proceeding.

12. Limitation of Liability

12.1 No Liability for Indirect Damages

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, HORLARTPAY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES.

12.2 Cap on Direct Liability

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, HORLARTPAY'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT OF THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, OR (B) ₦50,000 (FIFTY THOUSAND NAIRA).

12.3 Exceptions to Limitations

The above limitations do not apply to liability that cannot be excluded by law, death or personal injury caused by our gross negligence, fraud or fraudulent misrepresentation, or intentional violations by HorlartPay.

12.4 Specific Disclaimers of Liability

HorlartPay is not liable for third-party actions, user errors, e-wallet issues, market conditions, or force majeure events as detailed below.

  • Third-Party Actions: Actions or failures of e-wallet providers, banks, or other third parties.
  • User Errors: Incorrect bank details, inaccurate transaction info, failure to follow Admin instructions, delayed Proof of Payment.
  • E-Wallet Issues: Frozen or disputed e-wallet accounts, chargebacks, unauthorized use.
  • Market Conditions: Exchange rate fluctuations, economic changes, government actions.
  • Force Majeure: Events beyond reasonable control (natural disasters, war, strikes, internet outages, etc.).

12.5 User Indemnification

You agree to indemnify and hold HorlartPay harmless from claims, liabilities, losses, costs, or expenses arising from your violation of these Terms, unlawful activity, fraudulent transactions, inaccurate information, or disputes with other users. This obligation survives termination.

13. Compliance and Legal Obligations

13.1 Anti-Money Laundering (AML) Compliance

HorlartPay is committed to preventing money laundering and terrorist financing and complies with applicable Nigerian and international AML/CFT laws, including the Money Laundering (Prevention and Prohibition) Act 2022 and relevant Central Bank of Nigeria regulations.

We reserve the right to request additional identification or verification documents, suspend accounts with suspicious activity, and report suspicious transactions to authorities as required.

13.2 Know Your Customer (KYC) Requirements

We may require government-issued identification, proof of address, information about the source of funds, verification interviews, and periodic updates. Failure to comply may result in suspension or refusal to process transactions.

13.3 Transaction Monitoring and Reporting

We monitor transactions for unusual or suspicious activity, transactions involving sanctioned persons, potential fraud, and compliance with limits. We maintain records as required by law and may share them with authorities upon lawful request.

13.4 Prohibited Jurisdictions and Persons

You may not use HorlartPay if located in sanctioned countries, listed on government watchlists, owned or controlled by sanctioned entities, or engaged in prohibited activities under applicable laws.

13.5 Tax Compliance

You are responsible for understanding tax implications, declaring income, filing returns, and paying taxes. HorlartPay does not provide tax advice and may report transaction information to tax authorities if required.

13.6 Regulatory Changes

If laws change affecting our operations, we may modify these Terms, implement additional procedures, suspend services, or share more information with authorities. We will notify users of material changes as required by law.

14. Dispute Resolution

14.1 Informal Resolution

Before formal dispute resolution, contact us at support@horlartpay.com with details and supporting documentation and allow us 14 days to investigate and respond.

14.2 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law provisions.

14.3 Jurisdiction and Venue

Any legal action shall be brought exclusively in the courts located in Lagos, Nigeria. You consent to personal jurisdiction of these courts and waive venue objections.

14.4 Arbitration Clause

Disputes not resolved informally will be submitted to binding arbitration under the Arbitration and Mediation Act 2023 of Nigeria, conducted in Lagos, governed by Lagos Court of Arbitration rules (or another agreed institution), in English, and decided by a single mutually agreed arbitrator. The arbitration decision is final and binding.

Exceptions to Arbitration: Claims for injunctive or equitable relief, intellectual property claims, fraud or criminal claims, and permitted small claims may be brought in court.

14.5 Class Action Waiver

You agree disputes will be conducted on an individual basis only. You waive rights to participate in class actions or class-wide arbitration. If this waiver is unenforceable, the arbitration clause will be null and void for that proceeding.

14.6 Time Limitation for Claims

Any claim arising from these Terms must be filed within ONE (1) YEAR after the claim arose. Claims filed after this period are barred.

15. Modification of Terms

15.1 Right to Modify

HorlartPay may modify these Terms at any time to reflect changes in services, legal requirements, security, or to improve clarity. We will update the "Last Updated" date when changes are made.

15.2 Notice of Changes

For material changes, we will notify you via email, display a prominent notice on the Platform, and provide reasonable advance notice (typically 14-30 days). For minor changes, advance notice may not be provided.

15.3 Acceptance of Changes

Continued use of HorlartPay after changes take effect constitutes acceptance. If you disagree, stop using the Platform and close your account.

15.4 Version Control

We maintain a version history of these Terms. Request previous versions by contacting support@horlartpay.com.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and other legal notices, constitute the entire agreement between you and HorlartPay regarding the Platform.

16.2 Severability

If any provision is found invalid, it will be modified or severed to preserve the remainder of the Terms.

16.3 Waiver

Failure to enforce any right does not waive that right unless made in writing by an authorized representative.

16.4 Assignment

You may not assign these Terms without our consent. HorlartPay may assign rights to affiliates or in connection with corporate transactions without your consent.

16.5 No Third-Party Beneficiaries

These Terms benefit only you and HorlartPay. No third party may enforce them.

16.6 Force Majeure

HorlartPay is not liable for failure or delay due to circumstances beyond reasonable control (natural disasters, war, government actions, strikes, internet outages, pandemics, etc.). Obligations are suspended during force majeure events.

16.7 Relationship of Parties

These Terms do not create a partnership, joint venture, employment, franchise, or agency relationship. You are an independent user of the Platform.

16.8 Language

These Terms are provided in English. The English version controls in case of conflict with translations.

16.9 Headings

Headings are for convenience only and do not affect interpretation.

16.10 Survival

Provisions that should survive termination (IP, disclaimers, limitation of liability, indemnification, dispute resolution) will survive.

16.11 Electronic Communications

By using HorlartPay, you consent to electronic communications. These satisfy legal writing requirements. You may withdraw consent by closing your account, which prevents use of our services.

  • You have read these Terms and Conditions in their entirety
  • You understand the terms, rights, obligations, and limitations described herein
  • You agree to be legally bound by these Terms and our Privacy Policy
